1. Who We Are; Acceptance of Terms

PAID (“PAID,” “we,” “us”) is operated by SIREN LLC, a Georgia limited liability company, doing business as PAID (staypaid.app).

By creating a PAID account or using PAID to pay an invoice, you agree to these Terms of Service. If you don’t agree, don’t use PAID.

2. Definitions

“Merchant” means any individual or business using PAID to invoice for and collect payment for goods or services — including contractors, tradespeople, vendors, and independent service providers.

3. Eligibility

You must be at least 18 years old and able to meet Stripe’s own identity-verification requirements to create a merchant account on PAID. PAID is intended for use within the United States.

4. What PAID Is (and Isn’t)

PAID is a tool that lets merchants create invoices, attach proof of work (such as a photo), and collect payment from customers (“payers”) using Stripe as the underlying payment processor.

PAID is not a bank, does not hold or custody funds, and is not a party to the underlying sale between merchant and payer. Every payment is processed as a direct charge on the merchant’s own Stripe-connected account. Funds move directly from the payer to the merchant’s Stripe balance, and then to the merchant’s own bank account or payout card. PAID never holds your money at any point.

PAID charges a total platform fee of 2% of each transaction, split evenly: a 1% service fee added to the amount the customer is charged, and 1% deducted from the merchant’s payout. The 1% service fee applies to all transactions and all payment methods (card, bank, buy now pay later, Cash App Pay, and USDC alike) and is itemized and disclosed to the customer before the final payment step. These fees are in addition to Stripe’s own processing fees, which are separately disclosed by Stripe.

5. Merchant Responsibilities

As a merchant, you are solely responsible for:

• The accuracy of the invoices, items, and prices you create.
• The goods or services you provide in exchange for payment.
• Complying with all laws applicable to your business, including tax obligations.
• Handling refunds and resolving disputes with your customers directly (see Section 7).
• Maintaining the confidentiality of your account credentials.

6. Payer Terms

If you pay a merchant through PAID, you are paying that merchant directly for goods or services they are responsible for providing. PAID is not a party to that transaction and does not guarantee the quality, safety, or legality of what you’re paying for. Your payment information is submitted directly to Stripe and is not collected or stored by PAID.

7. Refunds and Disputes

PAID does not process refunds and has no role in the money side of a payment dispute. Because charges are made directly to the merchant’s own Stripe account, any refund, dispute, or chargeback is handled between the merchant, the payer, and Stripe (and, where applicable, the card network or bank). Merchants are solely responsible for chargebacks and disputes raised against their account, including any associated fees charged by Stripe.

8. Affiliate Program

Merchants may optionally opt in to PAID’s affiliate cash-back program. If you opt in:

• You'll receive a cash-back rebate (currently 5%, subject to change) on the PAID platform fee generated by your own transactions — not on transactions by anyone you refer. This is a discount on fees you've paid, not a commission or investment return.
• In exchange, you agree to make reasonable efforts to promote PAID, and if you do so online (social media, video, or similar), you agree to comply with FTC guidelines requiring disclosure that you are compensated for the promotion.
• Rebates are paid on a weekly basis.
• PAID may change or discontinue the affiliate rebate rate or program at its discretion, with reasonable notice to enrolled affiliates.
• The affiliate program does not involve any transfer of equity or ownership in PAID or SIREN LLC.

9. AI Assistant / Third-Party Connections

PAID allows merchants to optionally connect third-party AI assistants (such as Claude or ChatGPT) to their account via OAuth, enabling those assistants to view and create invoices and items, and view revenue summaries, on the merchant’s behalf. This connection:

• Is off by default and only occurs if you actively set it up.
• Can be revoked by you at any time through your assistant's own settings.
• Results in your invoice and revenue data being transmitted to the AI provider you've chosen, subject to that provider's own terms — PAID is not responsible for how that third party handles your data once transmitted.

10. Account Suspension and Termination

We may suspend or terminate your account if you violate these Terms, if Stripe suspends or terminates your connected account, or if we reasonably believe your use of PAID poses a risk to PAID, other users, or the public. You may close your account at any time by contacting us.

11. Disclaimers and Limitation of Liability

PAID is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that PAID will be uninterrupted, error-free, or secure at all times.

To the fullest extent permitted by law, PAID and SIREN LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from or related to your use of PAID — including, without limitation, disputes between merchants and payers, issues with your Stripe account or payouts, or your use of any third-party AI assistant connection.

To the fullest extent permitted by law, our total liability to you for any claim arising from your use of PAID will not exceed the greater of (a) the total platform fees you paid to PAID in the three months before the claim arose, or (b) $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold PAID and SIREN LLC harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of PAID, your violation of these Terms, or your violation of any rights of a third party, including a payer or another merchant.

13. Changes to These Terms

We may update these Terms from time to time. We’ll update the effective date above when we do, and for material changes, we’ll make a reasonable effort to notify active merchants.

14. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles.
